01Becoming an Authorised Stockist

Applications are reviewed individually.

Approval is based on factors including:

  • suitability of the business
  • alignment with the Vivere Bene brand
  • customer service standards
  • ability to market premium products
  • compliance with this policy

Vivere Bene reserves the right to approve or decline any application at its sole discretion.

02Opening Orders

The minimum opening order for authorised stockists is determined from time to time by Vivere Bene.

All opening orders must be paid in full before production or dispatch.

Opening order requirements may differ depending on:

  • Retail stores
  • Interior décor stores
  • Gift shops
  • Florists
  • Hotels
  • Guest Houses
  • Lodges
  • Online retailers
  • Corporate clients

03Ongoing Orders

We would of course welcome regular orders.

04Non-Exclusive Stockists

Vivere Bene does not grant exclusive geographic territories.

The appointment of one stockist does not prevent Vivere Bene from partnering additional stockists, retailers, distributors or commercial clients in the same city, province or region.

Stockists acknowledge that Vivere Bene may sell directly through:

  • its own website
  • commercial clients
  • retailers
  • online platforms
  • distributors
  • exporters
  • promotional campaigns

05Pricing

Vivere Bene products are positioned as premium products.

Ownership of Vivere Bene products passes to the authorised stockist or commercial client only upon receipt by Vivere Bene of full payment for the relevant order. Once ownership has passed, the stockist or commercial client is free to determine its own retail selling price for the products.

Vivere Bene recognises that businesses operate in different markets, locations and commercial environments, each with its own operating costs, customer base and pricing strategy. Accordingly, stockists and commercial clients are entitled to sell Vivere Bene products at prices they consider appropriate for their business.

While Vivere Bene does not prescribe retail pricing, we encourage all stockists to position the products in a manner that reflects the premium quality, craftsmanship and reputation of the Vivere Bene brand.

Promotional discounts are permitted provided they:

  • are reasonable;
  • are not misleading;
  • do not damage the reputation of the brand; and
  • comply with the Consumer Protection Act.

Once ownership has passed, the products become the stockist’s inventory and may be resold at the stockist’s sole discretion, subject only to compliance with applicable laws and the proper use of Vivere Bene’s trademarks, branding and intellectual property.

06Online Sales

Approved stockists may sell online through:

  • their own website
  • approved e-commerce platforms
  • approved social media pages

Products may not be sold through unlawful or misleading platforms.

Stockists remain responsible for ensuring that all advertising accurately represents Vivere Bene products.

07Product Presentation

Stockists agree to present Vivere Bene products in a manner consistent with a premium luxury brand.

To protect the quality and reputation of the Vivere Bene brand, stockists should sell products in their original form as supplied by Vivere Bene. Unless otherwise agreed in writing by Vivere Bene, products must:

  • remain in their original packaging;
  • not be relabelled;
  • not be altered; and
  • not be repackaged.

08Intellectual Property

All trademarks, logos, artwork, photographs, labels, product names, website content and marketing material remain the exclusive property of Vivere Bene (Pty) Ltd.

Stockists may use official marketing material supplied by Vivere Bene solely for promoting authorised products.

No intellectual property may be altered without written consent.

09Artificial Intelligence (AI)

Stockists may not use Artificial Intelligence or other digital tools to:

  • alter product labels;
  • redesign branding;
  • modify official product photographs;
  • generate misleading marketing material;
  • create marketing suggesting endorsement by Vivere Bene where none exists.

Official images supplied by Vivere Bene may be used without modification.

10Product Quality

Products must be stored:

  • away from direct sunlight;
  • in a cool, dry environment;
  • away from excessive heat;
  • in accordance with any product instructions.

Stockists remain responsible for maintaining product quality after delivery.

11Payments

Unless otherwise agreed in writing:

  • all orders are payable in full before dispatch;
  • ownership passes upon receipt of full payment;
  • prices exclude courier costs unless otherwise stated.

12Shipping

Unless otherwise agreed in writing, all delivery, courier and transport costs are for the stockist’s account.

Stockists are responsible for arranging the collection of their orders using their preferred courier or transport provider. Vivere Bene will prepare the order for collection and will gladly assist in coordinating the collection process where reasonably possible. However, the appointment of the courier, all associated transport costs, and the risk of loss or damage during transit remain the responsibility of the stockist once the goods have been collected from Vivere Bene’s premises or made available for collection.

This approach allows stockists the flexibility to use their preferred logistics provider while ensuring a smooth and efficient collection process.

13Risk of Loss, Damage and Collection

The stockist is responsible for arranging the collection of all orders using its own employees, representatives, or a courier or transport provider of its choice.

Risk in the products passes to the stockist immediately upon collection from Vivere Bene’s premises, or once the products have been handed over to the stockist’s nominated courier or transport provider, whichever occurs first.

As the courier or transport provider is appointed by the stockist, Vivere Bene shall not be liable for any loss, theft, delay, breakage or damage occurring during loading, transportation or delivery after collection. Any claim relating to damage or loss in transit must be directed to the stockist’s appointed courier or transport provider.

Nothing in this clause excludes Vivere Bene’s responsibility for supplying the correct products or for any manufacturing defects or damage that existed before the products were collected.

14Returns

Due to the nature of fragrance products, Vivere Bene does not generally accept returns.

Returns will only be considered where:

  • products were incorrectly supplied;
  • products are defective.

All returns require prior written approval.

15Product Safety

Stockists must not make medical, therapeutic or health claims regarding Vivere Bene products.

Products must always be marketed in accordance with South African legislation and product safety requirements.

The stockist acknowledges that all technical product information, product specifications, directions for use, safety information, warnings, disclaimers and related documentation are available on the Vivere Bene website and may be updated from time to time. It is the responsibility of the stockist to familiarise itself with this information and to ensure that customers have access to any relevant product warnings and instructions where appropriate.

Read the technical product information

16Marketing

Stockists are encouraged to market Vivere Bene products.

Marketing should reflect the premium nature of the brand and remain truthful, professional and respectful.

False advertising or misleading claims are prohibited.

17Commercial Conduct

Stockists agree to conduct business ethically and professionally.

Vivere Bene reserves the right to terminate any stockist relationship where conduct damages the reputation of the brand.

18Termination

Vivere Bene may terminate stockist status where a stockist:

  • breaches this policy;
  • misrepresents the products;
  • infringes intellectual property rights;
  • fails to make payment;
  • engages in unlawful conduct;
  • damages the reputation of the brand.

Termination does not affect any rights already accrued.

19Governing Law

This policy shall be governed by the laws of the Republic of South Africa.

Any dispute shall be subject to the jurisdiction of the South African courts.

20Amendments

Vivere Bene may amend this Stockist Policy from time to time.

The latest version published on our website will apply to all authorised stockists.

21Acceptance

By placing an order or accepting appointment as an authorised stockist, the stockist confirms that they have read, understood and agree to comply with this Stockist Policy.
